Pre-Release Usage Agreement

Scope of Use
CONCLUSIA GmbH grants the user (“Tester”) a non-exclusive, non-transferable right to access and use the LongListMaker web application in its pre-release (“beta”) version for testing purposes. The software is provided online and may contain errors, defects, or incomplete components. Use is at the Tester’s own risk.
Confidentiality & Incident Handling
All non-public information and materials accessible through the application are to be treated as confidential. If the Tester encounters any technical issues, data irregularities, or content that appears incorrect or unintended, they shall treat such information as confidential and promptly inform CONCLUSIA so it can be reviewed and resolved. Feedback or suggestions provided by the Tester may be freely used by CONCLUSIA for product development and improvement, without obligation or compensation.
Restrictions & Responsible Use
The Tester shall not share access credentials, redistribute or resell data obtained from the application, nor use any data or output to train, develop, or enhance AI or algorithmic systems. The Tester may use outputs and data from the application only for internal evaluation or client advisory work within their organization. Any systematic collection, reuse, or integration of such data into other databases, software, or AI models is prohibited. The Tester must not misuse any AI- or chat-based features of the application, including attempts to extract unauthorized information, bypass usage limits, or generate unlawful or deceptive content. CONCLUSIA may suspend access in case of misuse. The Tester is responsible for keeping login credentials secure and preventing unauthorized access.
Intellectual Property
All rights in and to the LongListMaker application remain with CONCLUSIA. The Tester may use and export company information identified via the application for internal analysis or client deliverables, but not as a standalone data product.
Warranty and Liability
The software is provided “as is,” without warranty of any kind. CONCLUSIA is not liable for the accuracy or completeness of data, nor for any damages resulting from the use or non-use of the beta version, except in cases of intent or gross negligence or for injury to life, body, or health.
Data Protection & Data Processing Agreement
Compliance: CONCLUSIA processes personal data in compliance with the GDPR and the German Federal Data Protection Act (BDSG).
Data Processing Agreement (DPA): Insofar as CONCLUSIA processes personal data on behalf of and according to the instructions of the Tester (e.g., business contact details of authorized users), this Agreement constitutes a Data Processing Agreement pursuant to Art. 28 GDPR. The processing is carried out for the purpose of providing the SaaS solution, authentication, and technical support. Categories of data processed include: Name, business email address, and role/access information.
Sub-processors & US Transfer: The Tester grants general authorization for CONCLUSIA to engage sub-processors. Current approved sub-processors are: Amazon Web Services, Inc. (AWS), Microsoft Corp., and Google Cloud. Data may be processed on servers in the USA. CONCLUSIA ensures an adequate level of data protection through certification of these providers under the EU-U.S. Data Privacy Framework and/or the use of EU Standard Contractual Clauses.
Security & Rights: CONCLUSIA implements appropriate technical and organizational measures (e.g., encryption, access controls) to ensure data security. CONCLUSIA will support the Tester in responding to data subject requests and will delete personal data upon termination of the beta test, unless statutory retention obligations apply.
Anonymized Analysis: CONCLUSIA may analyze anonymized or aggregated usage data, including AI-generated text exchanges, solely to improve product performance and safety. No personal data will be used for this purpose.
Updates: CONCLUSIA may inform the Tester about product updates and features via email. The Tester may object to this communication at any time.
Governing Law & Updates
This Agreement is governed by the laws of the Federal Republic of Germany. Place of performance and jurisdiction is Berlin. CONCLUSIA may update this Agreement where required by law or data provider obligations; any material changes will be communicated to the Tester.
